1. Acceptance of Terms

By accessing or using Mintyai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, customers, merchants, and/or contributors of content.

2. Description of Service

Mintyai is a B2B SaaS software service that provides automated AI-powered receipt matching for FreeAgent accounting software. The Service:

  • Connects to your FreeAgent account to access transaction data
  • Processes uploaded receipts and invoices using AI technology
  • Provides matching suggestions between transactions and receipts
  • Requires your explicit approval for all operations

IMPORTANT: The Service does NOT automatically approve, process, or modify any transactions in your FreeAgent account. All operations require your explicit approval. We provide suggestions and recommendations only. You are solely responsible for reviewing and approving all matches and transactions.

3. User Responsibilities

You agree to:

  • Provide accurate and complete information when creating an account
  • Maintain the security of your account credentials
  • Review all matching suggestions before approval
  • Verify the accuracy of all data before approving any operations
  • Comply with all applicable laws and regulations
  • Not use the Service for any illegal or unauthorized purpose
  • Not attempt to gain unauthorized access to the Service or related systems

4. Account and Subscription

4.1 Account Creation

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4.2 Free Trial

We offer a free trial period with limited receipts. Trial terms, including duration and receipt limits, are subject to change. Upon trial expiration, you must subscribe to a paid plan to continue using the Service.

4.3 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Mintyai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of all data you upload to the Service. By using the Service, you grant us a limited license to use, process, and store your data solely for the purpose of providing the Service.

6. Disclaimers and Limitations of Liability

6.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

6.2 Accuracy of Suggestions

While we use AI technology to provide matching suggestions, we do not guarantee the accuracy, completeness, or reliability of any suggestions. You are solely responsible for verifying all matches and ensuring the correctness of all data before approval.

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINTYAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any errors or inaccuracies in matching suggestions
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.

7. Indemnification

You agree to indemnify, defend, and hold harmless Mintyai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your use of the Service caused damage to a third party
  • Any errors or inaccuracies in data you provide or approve

8. Third-Party Services

The Service integrates with FreeAgent and other third-party services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
